1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Agreement" โ these Terms and Conditions together with any care agreement entered into between Solvaine and a resident or their authorised representative.
- "Service" โ the residential care programmes and related services provided by Solvaine at 104/6 Soi Ekkamai 12, Phra Khanong Nuea, Watthana, Bangkok 10110.
- "Resident" โ the individual receiving care at the Solvaine facility.
- "Family Representative" โ a family member, guardian, or authorised person acting on behalf of a resident.
- "We / Us / Our" โ Solvaine Co., Ltd., the operator of the facility.
- "You" โ the user of our website, or the resident or family representative engaging our services.
- "Website" โ the Solvaine website accessible at solvainena.
2. Acceptance of Terms
By using our website or engaging our care services, you confirm that you are aged 18 or over and have the legal capacity to enter into a binding agreement. Use of the website constitutes acceptance of these Terms. For residential care services, a formal care agreement is signed prior to or at admission.
3. Description of Services
Solvaine offers three residential care programmes for elderly adults:
- Transition Stay โ a short-term residential option from two weeks to two months
- Ongoing Residence โ a full-time, long-term residential care programme
- Continuous Nursing Residence โ a full-time programme including 24-hour nursing care
Services are provided at the facility in Watthana, Bangkok. We reserve the right to decline admission if we determine that a prospective resident's needs fall outside our current care capacity. Geographic availability is limited to our Bangkok facility.
4. Care Agreements
Admission to any Solvaine programme requires execution of a written care agreement. The care agreement will specify the programme selected, monthly fees, notice periods, care plan details, and any specific arrangements for the resident. In the event of any inconsistency between these Terms and a signed care agreement, the care agreement shall take precedence.
5. Resident and Family Responsibilities
Residents and their family representatives agree to:
- Provide accurate and complete health and personal information prior to and during the resident's stay
- Notify Solvaine promptly of any changes in the resident's medical condition or personal circumstances
- Treat staff and other residents with respect
- Comply with reasonable facility guidelines relating to safety, visiting, and communal living
- Pay all fees by the agreed due dates
The following conduct is not permitted at the facility: behaviour that endangers other residents or staff; bringing prohibited substances or items onto the premises; attempting to access or interfere with care records of other residents; or engaging in conduct that disrupts the wellbeing of others in the facility.
6. Intellectual Property
All content on the Solvaine website โ including text, design, layout, images, and graphics โ is the property of Solvaine Co., Ltd. or used under licence. You may view and print content for personal, non-commercial use. You may not reproduce, redistribute, or republish content without prior written consent. No rights are transferred to you by accessing the website beyond those necessary for your personal use.
7. Payment Terms
Monthly care fees are invoiced in Thai Baht (เธฟ) and due within 7 calendar days of the invoice date unless otherwise agreed in writing. Accepted payment methods include bank transfer and methods specified in the care agreement. Fees not paid on time may attract a late payment charge as set out in the care agreement. All pricing shown on our website is indicative and subject to the terms of the signed care agreement.
8. Refunds and Service Termination
Transition Stay fees are calculated on a prorated monthly basis. If a resident departs before the end of a paid period, a partial refund may be issued at Solvaine's discretion based on the circumstances. For Ongoing and Continuous Nursing Residence programmes, notice periods and any refund arrangements are specified in the individual care agreement. Fees are non-refundable in the event of termination due to a resident's breach of these Terms or the care agreement.
9. Disclaimers
Solvaine provides residential care services with reasonable professional skill and care. However, we do not make any representation that specific health outcomes will result from residence at our facility. The website content is provided for general information purposes and does not constitute medical advice. You should consult qualified medical professionals for health-related decisions.
Our website is provided on an "as available" basis. We do not warrant that it will be uninterrupted, error-free, or free from viruses or other harmful components.
10. Limitation of Liability
To the extent permitted by Thai law, Solvaine's liability for any claim arising from our services is limited to the fees paid by you in the three months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or special losses, loss of data, or loss of opportunity. Nothing in these Terms limits our liability for death, personal injury resulting from negligence, or fraud.
11. Indemnification
You agree to indemnify and hold Solvaine, its directors, staff, and agents harmless from any claim, loss, or expense (including legal costs) arising from your breach of these Terms, your misuse of our website, or any inaccurate information you have provided to us.
12. Termination
Solvaine may terminate a care arrangement with written notice if a resident or family representative materially breaches the care agreement or these Terms, or if the resident's care needs exceed what Solvaine is able to safely provide. Residents and family representatives may terminate by providing notice as specified in the care agreement. On termination, any outstanding fees become immediately due and payable.
13. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any dispute arising from these Terms or our services will first be referred to informal resolution between the parties. If unresolved within 30 days, either party may refer the matter to the courts of Thailand, with jurisdiction in Bangkok.
14. General Provisions
- Entire agreement: These Terms, together with any signed care agreement, constitute the entire agreement between the parties regarding the subject matter.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any right under these Terms does not constitute a waiver of that right.
- Assignment: You may not assign your rights under these Terms without our prior written consent. Solvaine may assign its rights as part of a business transfer.
15. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. For existing care residents, material changes to care agreement terms will be communicated in writing with reasonable notice. Continued use of the website following an update constitutes acceptance of the revised Terms.
